These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Priority Games LLC, doing business as MountainGamer Studio (“MountainGamer,” “we,” “our,” or “us”). These Terms govern your access to and use of our games, websites, mobile applications, publishing services, and any related content (collectively, the “Services”).
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
By accessing, downloading, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Services.
1. Eligibility and Acceptance
Age Requirements: You must be at least 13 years of age to use our Services. If you are between 13 and the age of majority in your jurisdiction, you must have the explicit permission of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
Acceptance: By using the Services, you represent and warrant that you meet all eligibility requirements and have the legal capacity to enter into this agreement.
Account Suspension: We reserve the right to suspend or terminate accounts that we suspect violate these age or eligibility requirements.
2. Account Registration and Security
Accurate Information: You agree to provide current, complete, and accurate information during the registration process and to update such information as necessary.
Account Confidentiality: You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
Unauthorized Access: You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your credentials.
Account Ownership: You acknowledge that you do not own your account. Your account is a limited license granted to you by Priority Games LLC.
3. Limited License and Intellectual Property
Ownership: All content, features, graphics, code, sounds, characters, and intellectual property within the Services are the exclusive property of Priority Games LLC or its licensors.
Limited License: We grant you a personal, non-exclusive, non-transferable, revocable limited license to access and use the Services for your personal, non-commercial entertainment.
Restrictions: You may not copy, modify, distribute, sell, lease, reverse-engineer, decompile, or create derivative works from any part of our Services without our prior written consent.
User-Generated Content (UGC): If you create, upload, or share content within our Services (such as chat, mods, or custom levels), you grant Priority Games LLC a perpetual, worldwide, royalty-free, irrevocable license to use, reproduce, modify, and distribute that content in any media.
4. Virtual Currency and Digital Goods
No Real-World Value: Any in-game currency, virtual items, or digital goods (“Virtual Goods”) are licensed to you, not sold. They have no real-world monetary value and cannot be exchanged for fiat currency or real-world assets.
Revocation: We reserve the right to manage, regulate, control, modify, or eliminate Virtual Goods at our sole discretion, with or without notice. We bear no liability to you or any third party if we exercise these rights.
No Transfers: The transfer, sale, or exchange of Virtual Goods outside of our expressly authorized Services is strictly prohibited and will result in immediate account termination.
5. Prohibited Conduct
By using the Services, you strictly agree NOT to:
Use cheats, exploits, automation software (bots), hacks, or any unauthorized third-party software designed to modify or interfere with the Services.
Attempt to gain unauthorized access to our servers, networks, or databases.
Harass, threaten, demean, or engage in hate speech or abusive behavior toward other users or MountainGamer staff.
Upload or transmit viruses, malware, or any other malicious code.
Exploit bugs or undocumented features for personal gain or to disrupt the game economy or balance.
Distribute, advertise, or sell pirated or unauthorized versions of our Services.
6. Purchases, Subscriptions, and Refunds
All Sales Final: All purchases of Virtual Goods, subscriptions, or premium content are final and non-refundable, except where required by applicable local law.
Subscriptions: Subscriptions automatically renew unless canceled prior to the renewal date. Cancellation takes effect at the end of the current billing cycle; partial refunds are not provided.
Platform Policies: Purchases made through third-party platforms (e.g., Steam, Apple App Store, Google Play) are subject to the respective platform’s payment and refund policies.
7. Disclaimer of Warranties
“AS IS” Basis: The Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, either express or implied.
No Guarantees: Priority Games LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, secure, or free from viruses.
8. Limitation of Liability
Damage Cap: To the maximum extent permitted by law, Priority Games LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Services.
Maximum Liability: In no event shall our total aggregate liability to you for all claims exceed the total amount you paid to us in the six (6) months immediately preceding the events giving rise to the claim, or fifty U.S. dollars ($50), whichever is greater.
9. Indemnification
User Responsibility: You agree to indemnify, defend, and hold harmless Priority Games LLC, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including attorney’s fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.
10. Dispute Resolution and Arbitration
Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding, individual arbitration, rather than in court.
Class Action Waiver: You and Priority Games LLC agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
Exceptions: Intellectual property infringement claims and claims that qualify for small claims court may be brought outside of arbitration.
11. Third-Party Services
Our Services may rely on or integrate with third-party platforms. You agree to comply with their respective terms and privacy policies, including:

12. Changes to the Services and Terms
Service Modifications: We reserve the right to alter, update, or discontinue the Services, in whole or in part, at any time without notice or liability.
Terms Updates: We may revise these Terms periodically. We will notify you of material changes by posting the updated Terms on our website or within the Services. Your continued use of the Services constitutes acceptance of the revised Terms.
13. Governing Law and Severability
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law principles.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
